Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the QAPI One website and platform (the “Service”) provided by QAPI One (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Early access and beta status

The Service is currently offered on an early-access (beta) basis. It may contain features that are incomplete, in development, or subject to change, and it is provided “as is” and “as available.” We may add, modify, or remove features, and may change pricing, at any time during early access. We do not guarantee that the Service will be uninterrupted, error-free, or that any feature will be retained.

Eligibility and accounts

You must be authorized to act on behalf of a healthcare organization to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account.

Acceptable use

• Do not use the Service for any unlawful or unauthorized purpose.
• Do not attempt to access data belonging to other organizations or circumvent security or access controls.
• Do not interfere with or disrupt the integrity or performance of the Service.
• Do not upload malicious code or content that infringes the rights of others.

Customer data and HIPAA

You retain ownership of the data your organization submits to the Service (“Customer Data”). To the extent Customer Data includes protected health information, our processing is governed by a Business Associate Agreement (BAA) between you and QAPI One, which controls in the event of any conflict with these Terms regarding PHI. You are responsible for having the necessary rights and consents to submit Customer Data to the Service.

Subscriptions and billing

Paid plans are billed through our payment processor, Stripe. Fees, billing periods, and plan features are described at the time of purchase and may change with notice. Except where required by law, fees are non-refundable. During early access, some features may be offered at no charge or at promotional pricing that is subject to change.

Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by QAPI One and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

Disclaimers

The Service does not constitute legal, clinical, or regulatory advice. QAPI One is a tool to help organize and support your quality program; you remain solely responsible for your regulatory compliance and clinical decisions. To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied.

Limitation of liability

To the maximum extent permitted by law, QAPI One will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the Service.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or its users. Provisions that by their nature should survive termination will survive.

Governing law

These Terms are governed by the laws of the jurisdiction in which QAPI One is established, without regard to conflict-of-laws principles. The specific governing jurisdiction will be finalized with counsel.

Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a revised “Last updated” date and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
